Hayes Consultants Limited provides professional consulting services including:

• Organizational Integrity Assessments
• Other related professional services as agreed upon

All services are subject to the terms of individual engagement letters or contracts.

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate with our consultants and provide timely feedback
• Comply with all applicable laws and regulations
• Make timely payments according to agreed terms
• Maintain confidentiality of proprietary methodologies and materials
• Use our services for lawful purposes only

All materials, methodologies, frameworks, and deliverables created by Hayes Consultants remain our intellectual property unless otherwise specified in writing. Clients receive a limited license to use deliverables for their internal business purposes only.

To the fullest extent permitted by law:

• Hayes Consultants shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
• We provide consulting advice based on information provided by clients and make no warranties regarding outcomes
• Clients are responsible for implementing recommendations and decisions made based on our advice

We maintain strict confidentiality regarding all client information and project details. Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law.

Either party may terminate the consulting engagement upon written notice as specified in the engagement letter. Clients remain responsible for payment of all fees for services rendered prior to termination.

These Terms and Conditions shall be governed by and construed in accordance with the laws of Nigeria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the Nigerian courts.

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of any modified terms.
